These Terms and Conditions ("Terms") govern the operations and services provided by RealHub Facility Management Ltd. (the "Company," "we," "us," or "our"), a facility management company based in the United Kingdom, with registered address at Dalton House, 60 Windsor Road, Merton Abbey, London, Greater London, United Kingdom, SW19 2RR, for the benefit of blockchain asset holders ("BA Holder(s)," "you," or "your") who possess fractional or full ownership interests in real estate represented by blockchain assets ("BA"). By holding a BA linked to any property managed by the Company, you agree to these Terms.
1. Scope of Services
1.1 Facility Management: The Company, directly or through its subsidiaries, provides facility management services for properties linked to BA. These services include property maintenance, tenant management, and rental collection on behalf of BA Holders.
1.2 Rental Income Distribution: BA Holders are entitled to a share of rental income generated from the property proportional to their fractional or full ownership. The Company keeps the applicable local withholding tax based on rental income and pays these taxes to the relevant authorities before distributing net income. The payout is executed through staking models, with distributions made in the form of Digital Assets, subject to handling fees and other service charges.
1.3 Payout Schedule: Rental income distributions to BA Holders occur on a monthly, quarterly, or yearly basis, as specified in the BA terms.
1.4 Service Adjustments: The Company may modify or enhance the range of services to meet legal, operational, or technological requirements, providing notice of significant changes where necessary.
1.5 Annual Audit Report: Once per year, the Company will publish a report from an external audit firm confirming that the real estate properties are held, owned, operated, and under the control of RealHub Facility Management Ltd. This report will be made available to BA Holders for review.
2. BA Holder Rights and Obligations
2.1 Ownership Rights: Each BA confers upon the BA Holder an ownership interest in the corresponding real estate property, either as fractional or full ownership, as specified in the BA smart contract.
2.2 Profit Participation: BA Holders are entitled to rental profit shares calculated after deductions for taxes, fees, and other costs.
2.3 Digital Asset Wallet Requirement: BA Holders must hold their BA in a compatible Digital Asset wallet. Rental distributions will be transferred to this wallet in the specified Digital Asset currency.
2.4 Timely Notifications: BA Holders are responsible for providing up-to-date contact and wallet details. Failure to do so may delay or forfeit distributions.
3. Distribution of Rental Income
3.1 Calculation of Rental Profit: Rental profit is calculated after deductions for local taxes, management fees, and other applicable costs.
3.2 Distribution Methods: Rental income is distributed in the Digital Asset currency linked to the BA. The Company may, at its discretion, update the currency if required, providing advance notification to BA Holders.
3.3 Frequency and Transparency: Rental income distribution schedules and calculation methodologies will be made available to BA Holders for transparency.
4. Company Rights and Obligations
4.1 Compliance and Due Diligence: The Company ensures compliance with applicable legal and regulatory requirements for all properties under management.
4.2 Tenant Management: Tenant relations, including lease agreements, rent collection, and dispute resolution, are exclusively managed by the Company. BA Holders do not have direct control over tenant interactions.
4.3 Deduction of Fees: Handling fees and taxes may be deducted from rental income distributions. The Company will provide a breakdown of deductions upon request.
4.4 Suspension of Services: The Company reserves the right to suspend or terminate services for properties linked to BA Holders in violation of applicable laws or these Terms.
5. BA Holder Responsibilities
5.1 Regulatory Compliance: BA Holders must comply with applicable tax laws and reporting requirements related to their rental income. The Company does not provide tax advice and recommends consulting a qualified professional.
5.2 Transfer of BA Ownership: BA Holders may transfer or sell their BAs through approved digital asset platforms. The new BA Holder assumes all rights and obligations under these Terms.
5.3 Security Measures: BA Holders are responsible for ensuring the security of their Digital Asset wallets. The Company is not liable for losses resulting from wallet breaches or unauthorized access.
5.4 Claims for NFT Allocations: In the event of a claim or disappearance of the NFT allocation and/or the organization representing the NFT linked to a real estate property, BA Holders should contact the relevant ombudsman services via [https://www.ombudsmanassociation.org/find-ombudsman](https://www.ombudsmanassociation.org/find-ombudsman) for resolution support.
6. Disclaimers and Limitations of Liability
6.1 No Warranty: Services are provided "as-is" without warranties of any kind, including fitness for a particular purpose.
6.2 Exclusions of Liability: To the fullest extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages arising from these Terms or services.
6.3 Third-Party Services: The Company may rely on third-party service providers. It is not liable for disruptions or failures caused by these providers.
7. Amendments to Terms
The Company reserves the right to amend these Terms. Changes will be communicated to BA Holders, and continued use of services or holding of BA constitutes acceptance of revised Terms.
8. Governing Law and Dispute Resolution
8.1 Governing Law: These Terms are governed by the laws of the United Kingdom.
8.2 Dispute Resolution: Disputes shall be resolved via binding arbitration under the laws of the United Kingdom. The arbitration language is English.
